Responsibilities
We are currently seeking a Corporate Development & Strategy Director that serves in various capacities reporting to the Chief Financial Officer. Responsible for all aspects of strategic planning support including: 1) financial evaluation of proposed Strategic initiatives, acquisitions, divestitures, etc.; 2) assistance in the coordination, development, documentation and execution of merger related activities (including preliminary assessment, diligence and integration); 3) assistance in the development and coordination of strategic initiatives including working with the various business segments to execute the overall bank strategy. This position has supervisory responsibility, both directly and in project management capacity. Requires regular interaction with executives and the Board. Key Accountabilities Strategy and related assignments
Work with various business segments to identify long-term strategies to drive growth and efficiencies
- Coordinate strategic efforts between external consulting firms and internal business segments, facilitate data requests and information gathering
- Assist the Chief Financial Officer in incorporating a strategic focus within the annual budget and planning process
- Provide periodic updates to Executive Management, the CEO, the President and Board of Directors on strategic initiatives
- Identifies, analyzes and monitors issues that affect profitability, growth and productivity. May also be responsible for recommending financial and non-financial strategic alternatives and developing and maintaining operational plans
Corporate development and related assignments
- Serve as primary source of contact and support for Corporate Development for all financial and operational analysis requests, including feasibility studies for acquiring and divesting distribution platforms, merger and acquisition activity.
- Compiles and analyzes data regarding companies to be acquired
- Provide evaluation and counsel to General Counsel, CFO and CEO regarding the financial and operational impact of assigned initiatives and strategies; facilitate and/or manages roll-out of foregoing strategies as required
- Manages due diligence and facilitates use of information to develop integrated revenue/expense analyses, projections, reports and presentations regarding the impact of a merger/acquisition on the organization. Identifies trends and developments in competitive environments and presents findings to senior management.
- Assists the internal Legal and outside Legal in the negotiation of definitive merger agreements
- Interface with target bank executive management throughout M&A transaction. Lead update meetings and establish an overall timeline for process.
- Leads M&A meetings with executive team providing updates on M&A activities
- Develop presentations on areas of responsibility in support of Board and regulatory communications
- Maintain relationships with investment bankers and other financial institutions to help foster acquisition opportunities

Qualifications and Education Requirements
- BA degree in accounting or finance required; MBA and/or CPA or CFA preferred
- 15 years of relevant experience including budgeting, forecasting, financial analysis corporate-wide or divisional level, corporate M&A, project management and public markets
- Expert knowledges of US Banks, US Bank Regulation, and key banking products
- Strong knowledge of financial valuation and project management techniques
- Significant exposure to lines of business including a strong understanding of sales, credit and operational processes, competitive analysis, pricing, product development, etc.
- Ability to coordinate and work across various departments to execute cross-functional plan or strategy
- Familiarity with the quarterly and annual reporting cycle for a publicly traded financial institution
- Broad-based GAAP knowledge
- Strong leadership, communication, organizational, analytical and decision-making skills required
- Experience with developing and maintaining internal policy, controls and procedures
