How you will make an Impact (Job Summary) SPX is a diverse team of unique individuals who all make an impact. As a Mergers & Acquisitions and Corporate Counsel, you will provide legal counsel and support for mergers, acquisitions, and other corporate transactions through all stages of the transaction lifecycle, including assessment of potential targets, deal structuring, due diligence, negotiation, deal execution and integration. You will work closely with senior leadership, legal and other functional teams, and external advisors to structure, negotiate, and close M&A deals, as well as advise on general corporate matters. What you can expect in this role (Job Responsibilities) While each day brings new opportunities at SPX, your core responsibilities will be:
- Deal Management:
- Manage and conduct due diligence processes, including identifying risks and coordinating with external counsel and relevant internal stakeholders.
- Work collaboratively with multiple cross-functional teams across the company to structure and negotiate deals that align with the company's strategic goals and risk profile and ensure compliance with relevant legal requirements.
- Draft, review and negotiate preliminary transaction documentation, including confidentiality agreements, indications of interest, letters of intent, and vendor agreements.
- Review and negotiate key transactional documents, including acquisition agreements and other transaction-related agreements (transition services agreements, escrow agreements, non-competition agreements, leases, distribution agreements, IP licenses, etc.).
- Provide strategic legal advice to senior management and other internal stakeholders on mergers, acquisitions and other corporate transactions regarding M&A strategy, risk management, and execution.
- Support post-transaction integration and address any legal issues that arise during the diligence and/or integration process.
- Mergers & Acquisitions and Corporate Infrastructure and Support:
- Effectively manage outside counsel, including scoping the engagement, the selection of advisors and coordination of efforts to ensure effective legal support throughout the transaction process.
- Develop, maintain and manage M&A and Corporate playbooks, templates and presentations.
- Train business teams regarding M&A and Corporate processes and policies.
- Stay up-to-date on changes in relevant laws and regulations affecting M&A transactions.
- Provide general corporate legal support, including advising on contracts, corporate structure, and legal risks.
What we are looking for (Experience, Knowledge, Skills, Abilities, Education) We each bring something to the table, and we are looking for someone who has: Required Experience
- 3-6 years of experience in M&A, corporate law, and transactional work, gained in-house and/or at a top-tier law firm.
- Experience with all aspects of M&A transactions, including diligence and drafting and negotiation of primary and ancillary transaction agreements.
Preferred Knowledge, Skills, and Abilities
- Exceptional attention to detail and ability to manage complex legal matters.
- Ability to work effectively under pressure and manage multiple priorities.
- Strong communication and interpersonal skills, with the ability to engage with senior executives, external advisors, and internal stakeholders.
- Ability to provide practical, business-oriented legal advice while mitigating legal risks.
- Strong problem-solving skills and a proactive approach to addressing legal issues.
- Excellent analytical and drafting skills.
- Previous in-house experience with a multinational corporation or fast-growing company.
- Experience with international M&A transactions and cross-border legal issues.
- Knowledge of the manufacturing and technology sectors is a plus.
Education & Certifications
- Juris Doctor (J.D.) from an accredited law school.
- Admission to any U.S. state Bar.
