Vice President, Senior Counsel - Capital Markets and M&A

Comerica Bank has an open Senior Counsel position for an experienced and highly motivated attorney supporting lines of business and departments throughout the organization on matters involving corporate law, including capital markets and M&A. The attorney will work at the Bank's headquarters in Dallas, Texas.

Position Competencies:



  • This Counsel position requires the highest level of legal analysis, integrity, trust and judgment. The successful attorney must have excellent oral and written communication skills, superb people skills, the ability to learn new areas of law quickly, business acumen, political savvy, an ability to anticipate and meet the needs of client groups with a level of flexibility.


Position Responsibilities:



  • Provides counsel in connection with capital management, share repurchases, debt and equity issuances, and other finance-related matters.
  • Negotiates and drafts agreements and advises management in connection with mergers, acquisitions, divestitures, and other corporate transactions.
  • Assists with matters involving general corporate law, corporate governance, and securities reporting/compliance.
  • Manages legal work related to private placements and warrants.
  • Advises senior bank officers of the legal implications of proposed transactions, policies, courses of action and management decisions.
  • Analyzes complex legal issues involved in various transactions and other matters of significance to the bank.
  • Prepares contracts and provides legal advice on general corporate law issues.
  • Prepares legal opinion letters in complex matters.
  • Independently researches applicable law.
  • Monitors proposed and new legislation in applicable areas to assess potential impact and apprises management of such legislation.
  • Supervises outside counsel.
  • Attorney must be licensed to practice law and a member in good standing in Texas or be admitted to practice and a member in good standing of another U.S. bar association and eligible for admission to the State Bar of Texas without examination.
  • Supports the Capital Markets group, conducting legal work related to various capital markets activities.


Position Qualifications:


  • Juris Doctorate from an accredited law school
  • Member in good standing with the State Bar of Texas or qualify for admission
  • At least 6 years of relevant experience as a practicing attorney at a large or mid-size law firm or public company

  • 6 years of overall working experience



  • 4 years of experience practicing law




  • At least 4 years' experience in M&A, capital markets and/or corporate law



Work Best Category: Category C - Days in the office will either be designated days or will vary week to week from 2-5 days Hours: 8:00am - 5:00pm Monday - Friday, this position includes both onsite and remote work. Salary: To Be Determined Based on Individual Experience
